What is market capitalization?

Market cap is the share price times the number of shares outstanding. That is the entire definition. If a company trades at $100 and has a billion shares out, the market is collectively saying it is worth $100 billion. The number does not appear on the balance sheet, the company does not control it, and it changes every time a single share crosses the tape. It is a real-time poll of every buyer and seller who showed up that day, multiplied by the share count. The poll is not always right. It is always the price.

What is the difference between large cap and small cap?

Two zeros, mostly, but the behavior gap is bigger than the math. A large cap is over $10 billion and a small cap is between $300 million and $2 billion. Large caps are in your index funds, get covered by twenty sell-side analysts, and move a few percent on a quarterly print. Small caps are followed by maybe one boutique broker, can move thirty percent on a single insider buy, and trade with bid-ask spreads wide enough to drive a truck through. Same multiplication, different planet. Index inclusion, lending support, options liquidity, and how easy it is to get out at four in the afternoon all flip when you cross those lines.

Does market cap equal company value?

No, and this is the most useful confusion to clear up. Market cap is the equity value, what the stock market thinks the slice of the company that belongs to shareholders is worth. The full price of taking the company over is enterprise value, which is market cap plus debt minus cash, because if you buy the company you also inherit its loans and pocket its cash. A company with a $50 billion market cap and $30 billion of debt is a $77 billion acquisition, not a $50 billion one. When a private equity headline says 'bought for $50 billion,' that is the enterprise value. The shareholders got less.

What is free float market cap?

The version of market cap that only counts shares actually available to trade in the public market. You strip out the founders' locked-up holdings, the family trust, the government stake, the strategic partner block. What is left is the free float, and most major indices weight by float-adjusted cap, not total cap. The reason is mechanical. If only ten percent of a company's shares are out there, an index that had to buy it on its full cap weight would push the price into the moon trying to fill the order. Float-adjusted weighting keeps the index buyable. It also explains why two companies with identical headline market caps can carry very different index weights.

Why does market cap matter?

Because it is the single number that decides which fund can own you, which index sweeps you in, and how the market thinks about your stock without thinking very hard. Cross from $1.9 billion to $2.1 billion and you graduate from the small cap index to the mid cap index, and a wave of forced buyers shows up the next rebalance. Drop below the threshold and the same wave goes the other way, with no regard for how the business is doing. It also sets the gravitational field for the stock. Mega caps move slowly because moving a $2 trillion ship takes a lot of water. Nano caps move on a single tweet. Same equation, different physics.
